Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Seny website, applications, APIs, and related services (collectively, the "Service") operated by Seny ("Seny," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, you may not use the Service.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. You may not use the Service if you are barred under applicable law or if we have previously suspended or terminated your account for violation of these Terms.

The Service

Seny provides tools to discover, customize, and deploy Shopify storefront apps and widgets using templates and AI-assisted editing. Features, templates, and integrations may change over time. We strive for reliability but do not guarantee uninterrupted or error-free operation.

Seny is not affiliated with, endorsed by, or sponsored by Shopify Inc. Shopify is a trademark of Shopify Inc. Your use of Shopify is subject to Shopify's own terms and policies.

Accounts and security

You may need an account to use certain features. You agree to provide accurate information, keep credentials confidential, and notify us promptly of unauthorized access. You are responsible for activity under your account.

We may suspend or terminate accounts that violate these Terms, pose security risks, or remain inactive for extended periods, subject to applicable notice requirements.

Shopify and third-party integrations

Connecting a Shopify store or other third-party platform grants Seny access only to the permissions you approve during installation. You remain responsible for your store's compliance with Shopify policies, consumer protection laws, and industry regulations.

Removing an app or disconnecting an integration may limit or stop certain Service functionality. We are not responsible for third-party platform outages, API changes, or policy enforcement by those platforms.

Acceptable use

You agree not to:

• Use the Service for unlawful, deceptive, or harmful purposes, including malware, phishing, spam, or infringement of intellectual property or privacy rights.
• Attempt to gain unauthorized access to systems, accounts, or data; probe or scan networks without permission; or interfere with the Service's integrity or performance.
• Reverse engineer, scrape, or extract source code or underlying models except where expressly permitted by law.
• Misrepresent your identity, impersonate others, or submit content you do not have rights to use.
• Use the Service to process special categories of personal data (such as health or financial data of end customers) unless you have a lawful basis and appropriate safeguards.
• Resell or sublicense the Service except as expressly allowed in a separate written agreement with Seny.

AI-generated content

AI outputs are provided for assistance and may be inaccurate, incomplete, or unsuitable for your store. You must review all generated code, copy, and configurations before publishing. You are solely responsible for what you deploy to production and for disclosures required when using automated tools with your customers.

We do not warrant that AI outputs will be free of defects, security vulnerabilities, or third-party claims. You should test apps in a development or preview environment before going live.

Intellectual property

Seny and its licensors own the Service, including software, branding, templates, documentation, and website content, subject to third-party rights. These Terms do not grant you ownership of our intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You retain ownership of content you submit; you grant us a license to host, process, and display that content as needed to operate and improve the Service.

If you provide feedback or suggestions, we may use them without restriction or compensation to you.

Fees, trials, and billing

Paid plans, trials, and promotional offers are described on our pricing pages or order flows. Fees are billed in advance unless stated otherwise and are non-refundable except where required by law or explicitly stated in writing.

You authorize us and our payment processors to charge your payment method for recurring subscriptions until you cancel. Price changes will apply to subsequent billing periods with reasonable notice. Failure to pay may result in suspension or downgrade of the Service.

Taxes, currency conversion, and third-party app store fees (if any) are your responsibility unless we state otherwise.

Confidentiality

Each party may receive non-public information from the other. You agree not to disclose our non-public product, pricing, or security information except as needed to use the Service. We will protect your non-public business information using reasonable care and use it only as permitted by these Terms and our Privacy Policy.

Suspension and termination

You may stop using the Service at any time and cancel subscriptions through your account or by contacting support. We may suspend or terminate access immediately for material breach, legal requirements, or risks to the Service or other users.

Upon termination, your right to use the Service ends. Provisions that by nature should survive (including payment obligations, disclaimers, limitations of liability, and dispute terms) will survive.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SECURE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SENY FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Indemnification

You will defend, indemnify, and hold harmless Seny and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your storefront apps, your use of the Service, violation of these Terms, or violation of third-party rights or applicable law.

Dispute resolution

Before filing a formal dispute, you agree to contact us at support@seny.app and attempt to resolve the matter informally within 30 days.

These Terms are governed by the laws applicable where Seny operates the Service, excluding conflict-of-law rules. Courts in that jurisdiction will have exclusive venue for disputes not subject to mandatory consumer protections in your home country.

If you are a consumer in the European Union, you may also have rights under mandatory local law and may bring claims in your country of residence where required.

Changes to terms

We may modify these Terms from time to time. We will post updates on this page and revise the "Last updated" date. If changes are material, we will provide additional notice (such as email or in-product notification). Continued use after the effective date constitutes acceptance.

Miscellaneous

• Entire agreement: These Terms and our Privacy Policy constitute the entire agreement regarding the Service.
• Severability: If any provision is unenforceable, the remainder stays in effect.
• No waiver: Failure to enforce a provision is not a waiver of future enforcement.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
• Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.
